Either I was not compensated properly (= somebody offered more than the current employer did) or the work(place) was not good. So no realistic chance.
They could just pay you less and say that you will get so much in bonus after working there for z years.

Why would taking this deal imply you aren't getting paid competitively?
The startup doesn't sound that attractive to me, but if you take it, I think you should get either a much higher salary or way more equity.

I'd need to be paid a lot more than that to work for them.
Make sure you're at least well compensated for it. At least 2x to make it worth your while IMO.
